BYLAWS

AMENDED JUNE 1, 2023

 

BYLAW I

At all meetings of the Corporation, good order and decorum shall be preserved and all proceedings shall be regulated by the ordinary rules of deliberative bodies.

 

AMENDMENT TO BYLAW I – June 1, 2023

At all meetings of the Board of Trustees, as representatives of the Corporation of the East Greenwich Free Library Association, good order and decorum shall be preserved, and all proceedings shall be regulated by the ordinary rules of deliberative bodies.

 

The Board of Trustees shall consist of seven to nine members of the East Greenwich Free Library Association (the “Library”).  The Board of Trustees shall designate officers among their rank.

 

BYLAW II

The regular meetings of the Board of Trustees shall be held on the first Monday in every month.

 

BYLAW III

The meetings shall commence at 7 ½ PM unless called at some other hour.

 

AMENDMENT TO BYLAW III – June 1, 2023

Bylaw III is hereby repealed.  It is enacted that the regular meetings shall commence at 4:00 PM and end at 6:00 PM, unless called at some other hour.

 

BYLAW IV

Special meetings shall be called by a written or printed notice specifying the time, place and purpose of the meeting mailed to all the members or by advertisement in the Rhode Island Pendulum.

 

AMENDMENT TO BYLAW IV – June 1, 2023

Bylaw IV is hereby repealed.  It is enacted that all meetings shall be called by a written or printed notice specifying the time, place and purpose of the meeting, provided to the Board of Trustees through electronic mail, and provided to the public by posting to the Library’s website and the Rhode Island Department of State’s open meetings web page.

 

BYLAW V

Notice of the time of regular meetings shall be given by the Secretary in the same manner.

 

AMENDMENT TO BYLAW V – June 1, 2023

Bylaw V is hereby repealed.

 

BYLAW VI

The regular committees of the Corporation shall be a Finance Committee, a Library Committee, and an Executive Committee.  The committees shall be appointed at the annual meeting and shall continue in office till their successors are appointed and in the discharge of their duties shall be under the direction of the Corporation.

 

 

BYLAW VII

The duty of the Finance Committee shall be to have charge of obtaining means necessary to carry on the purposes of the Corporation.

 

AMENDMENT TO BYLAW VII – June 1, 2023

Bylaw VII is hereby repealed.  It is hereby enacted that the duty of the Board of Trustees, with the assistance of the Library Director, shall be charged with obtaining means necessary to carry on the purposes of the Library.

 

BYLAW VIII

The Library Committee shall have charge of the purchase of all books and periodicals and shall make all necessary rules and regulations for the governance of the Library and shall determine the manner and the conditions under which the public shall be entitled to its use.

 

AMENDMENT TO BYLAW VIII – June 1, 2023

Bylaw VIII is hereby repealed.  It is hereby enacted that the Library Director, along with their department heads, shall have charge of the purchase of all library materials, and shall make all necessary rules and regulations for the governance of the library, and shall determine the manner and conditions under which the public shall be entitled to its use.

 

BYLAW IX

The Executive Committee shall have charge of the providing, furnishing and maintaining in good order a sufficient library room and furniture and shall perform all other duties which may be assigned theirs by the Corporation.

 

AMENDMENT TO BYLAW IX – June 1, 2023

Bylaw IX is hereby repealed.  It is enacted that the Library Director shall have charge of maintaining in good order library facilities, and shall perform all other duties which may be assigned them by the Board of Trustees as representatives of the Library.

 

BYLAW X

All committees shall make report of their proceedings during the year at the annual meeting or oftener if requested by the Corporation.

 

AMENDMENT TO BYLAW X – June 1, 2023

Bylaw X is hereby repealed.  It is enacted that the Library Director shall make a report of their proceedings during the year at the annual meeting or more often if requested by the Board of Trustees as representatives of the Library.

 

BYLAW XI (MARCH 5 AND APRIL 2, 1877)

Bylaw II is hereby repealed and it is hereby enacted that the regular meetings of the Association shall be held on the first Monday of January in each year.

 

AMENDMENT TO BYLAW XI – June 1, 2023

Bylaw II is hereby repealed.  It is enacted that the regular meetings of the Board of Trustees shall be held on the second Wednesday of the month, excluding July and August.  The December meeting will be cancelled if there is no pressing business. 

 

The annual meeting of the Board of Trustees shall be held on a Wednesday in June as dictated by the Board of Trustees

 

 

 

 

 

BYLAW XII (MARCH 5 AND APRIL 2, 1877)

The committees that are required to be appointed by Article 6 shall be appointed by the Board of Directors at their first regular meeting in each year.

 

AMENDMENT TO BYLAW XII – June 1, 2023

Bylaw XII is hereby repealed. Bylaw VI shall read, “It is hereby enacted that the Board of Trustees, at their annual meeting each, shall appoint committees as they deem are necessary.  Additionally, the Board of Trustees shall hire and appoint a director of the Library (the “Library Director”).”

 

BYLAW XIII

The Board of Directors shall make all necessary rules and regulations for the transaction of business and hold their meetings at such times and places as they may choose.

 

AMENDMENT TO BYLAW XIII – June 1, 2023

Bylaw XIII is hereby repealed.  It is enacted by the Board of Trustees shall make all necessary rules and regulations for the transaction of business and hold their meetings at such times and places as they may choose.
